Code of Ethics

 

GUIDING PRINCIPLES 

Objective

The Code provides a practical set of guiding principles designed to assist all employees make decisions in their day to day work and to conduct business honestly and with integrity. It promotes:

  • Compliance with applicable laws and regulations.
  •  Integrity, honesty and ethical conduct.
  • A work environment free of Conflicts of Interests.
  • Respecting banking secrecy law and protecting confidential information.
  • Accountability for non-compliance to this Code.

 

POLICY

Employees are expected to be AmBank’s ambassador and to carry out their responsibilities in adherence with the highest standards of professional and ethical behavior.

The following six principles have been identified to assist employees to act in an appropriate manner:

Compliant

 

We comply with the law both in letter and in spirit, this code and AmBank Group policies and procedures.

Responsible
 
We identify and manage conflicts of interest responsibly.

 

Ethical

We uphold the highest level of integrity and act with honesty and Professionalism.

Accurate

We ensure completeness and accuracy of underlying records, financial or otherwise.

Trustworthy

We ensure confidentiality of information and transactions.

 

Equitable

We ensure fair and equitable treatment to all.

 

BREACH OF CODE

Any breach of the principles, policies or spirit of the Code will be investigated in
accordance with disciplinary policy and will result in consequence management. This may range from a verbal warning through to the termination of employment for serious breaches.

 

INVESTIGATION

All employees are required to cooperate fully with any appropriately authorized internal or external investigation, including but not limited to those involving ethical issues or complaints of discrimination or harassment and any acts of bribery and corruption etc. Employees should never withhold, tamper with or fail to communicate relevant information in connection with an investigation.

In addition, employees are expected to maintain and safeguard the confidentiality of an investigation to the extent possible. Making false statements to or otherwise misleading internal or external auditors, investigators, legal counsel, AmBank Group representatives, regulators, or other governmental entities may be grounds for immediate termination of employment or other relationship with AmBank Group and may also be a criminal act that can result in severe penalties. 

 

KEY RESPONSIBILITIES

All employees must:

  • Be informed and uphold both the letter and the spirit of the principles, policies and guidelines applicable to AmBank.
  • Be informed and comply both the letter and the spirit of all applicable laws, rules and regulations.
  • Foster accountability
  • Eliminate unfair and disrespectful treatment of others
  • Asking questions when confronted with ethical issues
  • Encouraging open dialogue and discussion

 

GOVERNANCE

The Code has been adopted by the Board of Directors who take a leadership role in shaping and driving governance of AmBank Group’s policies and practices and in ensuring AmBank Group’s compliance with these policies and practices through the key components of Group’s CEOs Committee, Group Risk, Group Legal, Group Compliance, Group Internal Audit, Group Information Services, Group Finance and Group Human Resource.
